Fast-paced role supporting our various boards and committees, focus on superannuation and APRA regulated Boards Ongoing training and mentoring support Melbourne Location This is a great opportunity for an experienced Assistant Company Secretary to join a leading wealth management company. The Role Reporting into the Head of OPC and IIML Company Secretary, you will be responsible for providing high quality company secretariat and corporate governance support in the Company Secretary team. Key Responsibilities: Act as Committee Secretary and as required as alternate for the Company Secretary at board meetings. Assist the Company Secretary with the maintenance of company registers for Insignia Financial Group companies. Arrange Board and Committee meetings and agenda, take minutes and matters arising and completion of any other company secretarial and governance related tasks as required. Assist in building Board packs for Board and Committee meetings. Review of Board and Committee papers. Review and maintain working knowledge of the Constitutions of Insignia Financial Group companies. Liaison with stakeholders in the lead up to Board and Committee meetings. Assist with auditor and regulatory investigations and requests. Assist in project related tasks, change initiatives, along with other adhoc deliverables, as required. To Be Successful in This Role You Will Possess: Tertiary qualification in Law, Commerce or a related discipline. Graduate Diploma of Applied Corporate Governance or currently completing this qualification. At least 3-5 years’ assistant company secretary or governance related experience ideally in the financial services sector. Experience with Diligent Board Books is highly regarded. Knowledge of company secretariat practices, Corporations Act. Knowledge of SIS Act and APRA requirements desirable. Excellent writing, communication and analytical skills. Well-developed organisational and coordination skills. Experience interacting with directors and senior management. Able to develop and maintain strong internal and external stakeholder relationships. Able to plan and prioritise tasks, work under pressure in order to meet business and statutory timeframes. Work collaboratively within the Company Secretary team. Able to take responsibility for accountabilities and provide high quality and timely results, while offering flexibility and a proactive approach. Able to communicate with all levels of staff in a professional, positive and respectful manner. Able to exercise initiative, judgement, tact and discretion. Able to work independently at a high level and meet strict deadlines. Highly organised, pro-active, with strong attention to detail, high-level interpersonal skills and committed to quality service delivery.
